uvidx Terms of Service
These Terms of Service (“Terms”) govern your access to and use of uvidx websites (“Sites”) and products and services (“Services”).
By accessing or using the Services, you agree to these Terms.
If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” means that entity.

1. Who We Are
The Services are provided by uvidx (“uvidx,” “we,” “our,” or “us”).
2. Eligibility and Account
You must be legally able to enter into these Terms.
You are responsible for:
- providing accurate account information;
- maintaining account security and credentials;
- all activity under your account.
You must promptly notify us of any unauthorized use of your account.
3. Services
uvidx provides meeting intelligence, transcript analysis, workflow automation, and related features.
We may modify, improve, or discontinue features from time to time, including to meet legal, security, or platform requirements.
4. Google and Microsoft Integrations
If you connect Google Workspace or Microsoft 365, you authorize us to access and process permitted data based on scopes and permissions granted by you or your administrator.
You represent and warrant that:
- you are authorized to connect the relevant accounts, workspaces, and files;
- you have all rights, notices, and consents required to share meeting content and participant data with the Services;
- your use complies with applicable law, including recording/transcription notice and consent laws.
If you revoke integration permissions, some features may stop functioning.
5. Google API Services Commitments
When we access Google user data through Google APIs, we follow:
- Google API Services User Data Policy, including Limited Use requirements; and
- Google Workspace API User Data and Developer Policy, including additional requirements for Sensitive/Restricted scopes where applicable.
In particular:
- we request only minimum scopes needed for user-facing features;
- we use Google API data only for user-facing features requested by users;
- we do not sell Google user data;
- we do not use Google user data for advertising, retargeting, credit-worthiness, or lending decisions;
- we do not use Google user data to create, train, or improve generalized or non-personalized AI/ML models;
- human access to Google API data is limited to permitted cases (for example user-authorized support, security, or legal compliance);
- we provide required in-product disclosures and consent controls where applicable.
6. Customer Data and Processing
As between you and uvidx, you retain ownership of your Customer Data.
You grant uvidx a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Services in accordance with these Terms and our Privacy Policy.
For customer meeting content, uvidx generally acts as a processor on behalf of the customer organization controller.
7. Privacy
Our processing of personal data is described in our Privacy Policy.
By using the Services, you acknowledge that we process personal data in accordance with that Privacy Policy and applicable data protection law.
8. Acceptable Use
You must not:
- use the Services for unlawful, deceptive, abusive, or infringing activities;
- attempt unauthorized access to systems, accounts, or data;
- interfere with security, integrity, or operation of the Services;
- use the Services to send spam, malware, or harmful code;
- misuse connected platform data or exceed granted permissions;
- reverse engineer, scrape, or copy Services content except as permitted by law.
9. Third-Party Services
The Services may interoperate with third-party services (including Google and Microsoft).
Your use of third-party services is governed by those providers’ terms and policies.
We are not responsible for third-party products or services.
10. Fees and Payment
If you purchase paid Services, you agree to pay all applicable fees and taxes.
Unless otherwise stated in an order form, fees are non-refundable except where required by law.
11. Intellectual Property
uvidx and its licensors own all rights, title, and interest in the Services, including software, branding, and documentation, except for Customer Data.
No rights are granted except as expressly set out in these Terms.
If you provide feedback, you grant uvidx a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use it without restriction.
12. Confidentiality
Each party may receive confidential information from the other party.
The receiving party will protect such information with reasonable care and use it only for purposes of these Terms, except where disclosure is required by law.
13. Security and Availability
We implement reasonable technical and organizational measures to protect the Services and data.
No system is completely secure or uninterrupted, and we do not guarantee uninterrupted availability.
14. Suspension
We may suspend or restrict access immediately if:
- required by law or regulator;
- necessary to prevent security risk, abuse, or harm;
- you materially breach these Terms;
- required by third-party platform rules needed to operate integrations.
Where practical, we will provide notice and an opportunity to resolve issues.
15. Term and Termination
These Terms begin when you first use the Services and continue until terminated.
You may stop using the Services at any time.
We may terminate these Terms or your access for material breach, legal compliance, or persistent non-payment (if applicable).
Upon termination, your right to use the Services ends.
Data handling and deletion remain subject to the Privacy Policy and applicable contractual terms.
16. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of Liability
To the maximum extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data;
- each party’s total aggregate liability arising out of or related to these Terms will not exceed the amounts paid (or payable) by you to uvidx for the Services in the 12 months before the event giving rise to liability.
Nothing in these Terms limits liability that cannot be limited under applicable law.
18. Indemnification
You will defend, indemnify, and hold harmless uvidx from third-party claims arising from:
- your Customer Data;
- your use of the Services in violation of these Terms or law;
- your failure to obtain required notices, permissions, or consents.
19. Changes to Terms
We may update these Terms from time to time.
If changes are material, we will provide notice (for example by updating the date above and/or in-product notice).
Continued use of the Services after the effective date of updated Terms constitutes acceptance.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of Serbia.
Courts located in Serbia have exclusive jurisdiction, unless mandatory law requires otherwise.
